  • Pre-filing services:
    • Confirm availability of corporate name

    • Notice Advertising – Coordinate notice advertising of filed and registered articles of incorporation in two (2) newspapers of general circulation to satisfy PA statutory notice requirements
    • Employer Identification Number (“EIN”) – Prepare SS-4 Federal Application and obtain Federal EIN
    • Subchapter S election – If electing S Corporation status prepare and file Federal Form 2553 and PA Department of Revenue Form 1640 to elect S Corporation status
  • Entity organizational documents prepared:
    • Corporate Bylaws
    • Written Consent of Incorporator
    • Unanimous written Consent of Directors and Shareholders in Lieu of Organizational Meeting to elect officers, directors and identify entity depository bank and authorized signer(s)
    • Stock Certificates
  • Close out services and documents
    • Corporate Kit. Upon completion of entity formation you will be provided with a corporate binder containing all documents filed and confirmed by the appropriate governmental agencies and your organizational documents prepared for your final execution
    • Consult. Option to consult with your assigned legal team to confirm completion of your entity organization, answer questions regarding your entity documents and proper steps to maintain your status as a limited liability entity status
